The U.S. Securities & Exchange Commission published an exemptive order and a disclosure guidance giving companies who report with Forms 10-K, 10-Q, 20-F, and 8-K leeway because of the impact of COVID-19 on filing deadlines and advice on that data to report when they do report.

The order gives companies an additional 45 days to file those and other Exchange Act reports and any amendments that would have otherwise been due between March 1, 2020, and July 1, 2020. See the PDF at bit.ly/2XJ2Wq9.

Disclosure Guidance Topic No. 9 notes disclosure of COVID-19 risks and related effects may be necessary or appropriate in Management’s Discussion and Analysis, the business section, risk factors, legal proceedings, disclosure controls and procedures, internal control over financial reporting, and financial statements. See bit.ly/3csGLZG.
